These Terms of Use ("Terms") govern your access to and use of www.aivalueos.com (the "Site") and the AIValueOS platform and services (the "Service"), provided by AIValueOS ("we", "us", or "our"). By accessing the Site or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Site or Service.

1. Eligibility

You must be at least 18 years of age and have the authority to bind yourself or the organisation on whose behalf you are acting. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

Access to certain features of the Service requires you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are responsible for all activities that occur under your account. Notify us immediately at accounts@aivalueos.com if you suspect unauthorised use of your account.

3. Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

You may not:

• Sublicence, sell, resell, transfer, or otherwise commercially exploit the Service without our prior written consent.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to build a competitive product or service.
• Transmit any unlawful, harmful, or offensive content through the Service.
• Circumvent any security or access controls.
• Use automated tools, scrapers, or bots to access the Service without authorisation.
• Violate any applicable law or regulation.

4. Intellectual Property

All content, software, algorithms, frameworks, trademarks, and materials made available through the Site and Service are the exclusive property of AIValueOS or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any rights in the AIValueOS brand, name, or proprietary methodologies, including the AI Value Score framework.

"AIValueOS," the AIValueOS logo, and related marks are trademarks of AIValueOS.

5. Your Content

You retain ownership of any data, materials, or content you upload or input into the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive licence to process Your Content solely to provide the Service to you. We will not disclose Your Content to third parties except as described in our Privacy Policy or as required by law.

6. Confidentiality

Each party agrees to keep the other party's confidential information (including platform features not publicly disclosed, pricing, and organisational data) strictly confidential and not to use or disclose it except as necessary to perform obligations under these Terms.

7. Payment and Subscription

Where the Service is offered on a paid basis, payment terms will be set out in a separate order form or subscription agreement. All fees are non-refundable unless otherwise agreed in writing. We reserve the right to suspend access to the Service for non-payment.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY AI VALUE SCORES OR OUTPUTS WILL BE ACCURATE OR COMPLETE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AIVALUEOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless AIValueOS, its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service.
• Your breach of these Terms.
• Your violation of any applicable law.
• Any content you upload or transmit through the Service.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice. You may terminate your account at any time by contacting accounts@aivalueos.com. Upon termination, all licences granted under these Terms will cease and you must discontinue use of the Service.

12. Dispute Resolution

These Terms and any disputes arising under them shall be governed by the laws of England and Wales, without regard to conflict of law principles. You and AIValueOS agree to attempt to resolve any dispute informally before initiating formal proceedings. If a dispute cannot be resolved informally within 30 days, it shall be referred to and finally resolved by the courts of England and Wales.

13. Changes to the Terms

We may update these Terms from time to time. We will provide reasonable notice of material changes by posting the updated Terms on the Site and updating the effective date. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

14. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AIValueOS relating to the Service. If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver.

We may assign our rights and obligations under these Terms without your consent. You may not assign your rights without our prior written consent.
